Essential Qualification and Experience

Candidates should possess:

• A Bachelor’s Degree in Law.
• 10–15 years of total work experience.
• At least 5 years of experience in a corporate legal department or law firm.
• Strong experience in Mergers & Acquisitions (M&A), including:
  • Domestic and international mergers and acquisitions;
  • Demergers;
  • Divestments; and
  • Corporate restructuring transactions.

Roles and Responsibilities

The selected candidate will be responsible for providing legal support across M&A transactions, including:

• Conducting legal due diligence for M&A transactions.
• Drafting, reviewing and negotiating transaction documents, including:
  • Shareholders’ Agreements;
  • Share Subscription Agreements;
  • Non-Disclosure Agreements (NDAs);
  • Engagement Letters;
  • Letters of Intent;
  • Binding and Non-Binding Offers;
  • Asset Purchase Agreements;
  • Business Transfer Agreements; and
  • Intellectual Property Agreements.
• Ensuring regulatory compliance relating to antitrust, securities and FEMA requirements.
• Managing deal logistics and transaction documentation.
• Advising stakeholders on legal and transactional risks.
• Advising on tax implications and post-closing issues.
• Supporting the completion of legally compliant and commercially sound M&A transactions.
