Legal Responsibilities

  • Assessment and consultancy in legal issues
  • Negotiating, checking and issuing of contracts
  • Risk assessment
  • Representation towards third parties in legal issues
  • Optimizing of processes including issuing of company guidelines
  • Maintenance of insurance policies
  • Managing claims and lawsuits

Compliance Responsibilities

  • Managing highly efficient program which ensures proper handling in accordance with the applicable regulations on a transaction level
  • General & Regulatory Compliance covering applicable International Freight Forwarding, Customs & Trade Regulations
  • Responsible for corporate compliance management system aiming at the legally compliant operational handling of products and related activities under consideration of the respective safety and security provisions
  • Responsible for Country Risk Management including international Embargo & Sanction Programs
  • Working with internal departments in vendor databases and transactional screening, integrations of a living global Denied Party Screening program
  • Creation of awareness and training in the field of anti-corruption and antitrust regulations. – Responsible as Subject Matter Expert to provide Regulatory Guidance including interpretation of the regulations and how they are applicable to our commercial operations within the group
  • Set up, organize and regularly control the legal compliance of the business in regard to all relevant legal requirements for operation of our business
  • Actively monitor operational risk management – Assist where needed and requested with other departments in problem
  • Assist where needed and requested with other departments in problem solving with cases that carry a threat of financial loss to our company
  • Update and improve knowledge level with the use of Quality Audit covering the subject matters
  • Provide risk report to Management concerning potential violations and rules to be respected to avoid further risk

Secretarial Responsibilities

  • Interaction with the Legal Law Firms
  • Assessment and consultancy in legal issues
  • Processing of claims and lawsuits including responsibility within his/her division towards the head of the department
  • Statutory compliances for Board for directors, local laws, Registrar of companies (ROC)
  • Creating director reports
  • Maintaining statutory books for Company’s shareholders
  • Calling Board Meetings, Extraordinary Meetings, Annual General Meetings
  • Issuing Notices and writing Minutes of the Board Meetings, Extraordinary Meetings, Annual General Meetings
  • Overview of Compliances on Service Tax Rules, Shops and Establishment, Reserve Bank of India
  • Checking the Corporate Tax
